1. Geltungsbereich
Diese Allgemeinen Geschäftsbedingungen gelten für sämtliche Coaching-, Beratungs- und Trainingsleistungen von Mosch Khanedani, nachfolgend „Anbieterin“, gegenüber Privatpersonen und Unternehmen, nachfolgend „Auftraggeber:in“.

Abweichende Bedingungen der Auftraggeber:innen finden keine Anwendung, es sei denn, ihrer Geltung wird ausdrücklich schriftlich zugestimmt.

2. Leistungsbeschreibung
Die Anbieterin bietet psychologische Beratung, Coaching, Führungs- und Strukturberatung, Recruiting-Begleitung sowie Workshops und Trainings an.

Die Leistungen erfolgen online oder vor Ort nach individueller Vereinbarung.

Coaching und Beratung stellen keine Psychotherapie dar und ersetzen keine medizinische, psychiatrische oder psychotherapeutische Behandlung. Es werden keine Diagnosen gestellt und keine Heilbehandlungen durchgeführt.

3. Vertragsschluss
Ein Vertrag kommt zustande durch schriftliche oder mündliche Terminvereinbarung, durch Annahme eines Angebots oder durch Beauftragung eines Beratungsmandats.

Mit der Beauftragung gelten diese AGB als akzeptiert.

4. Honorar und Zahlungsbedingungen
Es gelten die individuell vereinbarten Honorare.
Einzelstunden werden nach Durchführung in Rechnung gestellt, sofern nichts anderes vereinbart wurde.
Beratungsmandate, Pakete, Workshops oder Trainings werden gemäß Angebot oder Vereinbarung berechnet.
Rechnungen sind innerhalb von 14 Tagen ohne Abzug zahlbar.
Gemäß § 19 UStG wird keine Umsatzsteuer berechnet.

5. Terminabsage bei Einzelcoachings
Vereinbarte Termine sind verbindlich.
Eine kostenfreie Absage ist bis 24 Stunden vor dem Termin möglich.
Bei späterer Absage oder Nichterscheinen wird das volle Honorar berechnet.
Bei gebuchten Paketen verfällt die jeweilige Einheit bei kurzfristiger Absage.

6. Stornobedingungen für Workshops und Beratungsmandate
Für Workshops, Trainings oder fest vereinbarte Beratungstage gelten folgende Stornobedingungen:

• Bis 10 Tage vor dem Termin: kostenfreie Stornierung möglich

• 9 bis 5 Tage vor dem Termin: 50 % des vereinbarten Honorars

• Ab 4 Tage vor dem Termin oder bei Nichterscheinen: 100 % des vereinbarten Honorars

Bereits entstandene Reise- oder Raumkosten werden zusätzlich berechnet, sofern diese nicht kostenfrei storniert werden können.
Eine Terminverschiebung ist nach Verfügbarkeit und in gegenseitiger Absprache möglich.

7. Mitwirkung und Verantwortung
Coaching und Beratung sind prozessbegleitende Leistungen. Ein konkreter wirtschaftlicher oder persönlicher Erfolg wird nicht geschuldet.
Die Umsetzung der erarbeiteten Inhalte liegt in der Verantwortung der Auftraggeber:innen.

8. Vertraulichkeit
Alle im Rahmen der Zusammenarbeit bekannt gewordenen Informationen werden vertraulich behandelt, sofern keine gesetzliche Offenlegungspflicht besteht.

9. Haftung
Die Anbieterin haftet ausschließlich für vorsätzlich oder grob fahrlässig verursachte Schäden.
Eine Haftung für mittelbare Schäden, Folgeschäden oder entgangenen Gewinn ist ausgeschlossen.

10. Urheberrecht
Arbeitsunterlagen, Konzepte, Inhalte und Materialien sind urheberrechtlich geschützt und dürfen ohne schriftliche Zustimmung nicht vervielfältigt oder weitergegeben werden.

11. Schlussbestimmungen
Es gilt deutsches Recht.
Gerichtsstand ist, sofern gesetzlich zulässig, der Sitz der Anbieterin.

Sollten einzelne Bestimmungen dieser AGB unwirksam sein, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt.

Terms & Conditions

for Coaching, Psychological Consulting and Leadership Advisory Services

1. Scope
These Terms & Conditions apply to all coaching, psychological consulting, leadership advisory, recruitment support, and training services provided by Mosch Khanedani, hereinafter referred to as “the Provider”, to private individuals and corporate clients, hereinafter referred to as “the Client”.

Any deviating terms of the Client shall not apply unless expressly agreed to in writing.

2. Services
The Provider offers psychological consulting, coaching, leadership and structural advisory, recruitment support, as well as workshops and trainings.

Services may be delivered online or on-site, as individually agreed.

Coaching and consulting services do not constitute psychotherapy and do not replace medical, psychiatric or psychological treatment. No medical diagnoses are made and no therapeutic treatment is provided.

3. Formation of Contract
A contract is formed through written or verbal appointment scheduling, acceptance of an offer, or confirmation of a consulting mandate.

By booking services, the Client agrees to these Terms & Conditions.

4. Fees and Payment
Fees are based on the individually agreed terms.

Individual coaching sessions are invoiced after delivery unless otherwise agreed.
Consulting mandates, service packages, workshops and trainings are invoiced in accordance with the respective agreement or proposal.

Invoices are payable within 14 days without deduction.

The Provider operates under the German small business regulation pursuant to Section 19 of the German VAT Act (UStG) and therefore does not charge VAT.

5. Cancellation of Individual Sessions
Scheduled appointments are binding.
Cancellations are free of charge up to 24 hours before the agreed appointment.
In case of later cancellation or non-attendance, the full fee will be charged.
For pre-booked packages, the respective session will be forfeited if cancelled on short notice.

6. Cancellation Policy for Workshops and Consulting Days
For workshops, trainings or pre-scheduled consulting days, the following cancellation terms apply:

• Up to 10 days prior to the scheduled date: free cancellation

• 9 to 5 days prior to the scheduled date: 50% of the agreed fee

• 4 days or less prior to the scheduled date, or non-attendance: 100% of the agreed fee

Any travel or venue costs already incurred will be charged if they cannot be cancelled free of charge.

Rescheduling is possible subject to availability and mutual agreement.

7. Client Responsibility
Coaching and consulting are process-oriented services. No specific personal, professional or economic outcome is guaranteed.

The implementation of any insights, strategies or recommendations remains the sole responsibility of the Client.

8. Confidentiality
All information disclosed during the course of the collaboration will be treated confidentially unless disclosure is required by law.

9. Liability
The Provider shall be liable only for damages caused intentionally or by gross negligence.
Liability for indirect damages, consequential damages or loss of profit is excluded to the extent permitted by law.

10. Intellectual Property
All materials, concepts and content provided within the scope of services remain the intellectual property of the Provider and may not be reproduced, distributed or shared without prior written consent.

11. Governing Law and Jurisdiction
These Terms & Conditions shall be governed by the laws of the Federal Republic of Germany.
The place of jurisdiction, to the extent legally permissible, shall be the registered place of business of the Provider.

In case of discrepancies between the German and the English version of these Terms & Conditions, the German version shall prevail.
